Platform Terms of Service
These terms are an agreement between RoboIQ Pty Ltd (ABN 16 661 653 667) ("RoboIQ", "we", "us") and the business or person that creates a workspace ("you", "the Customer"). They govern your use of the RoboIQ platform — RoboCRM, RoboCRE, RoboResi, RoboStrata, RoboAbility, RoboPA and any related product, app, page or API we provide (together, "the Platform") — including the Robo assistant.
By creating a workspace, accepting an invitation to one, or using the Platform, you agree to these terms. If you are accepting on behalf of a business, you confirm you have authority to bind it. If you do not agree, do not use the Platform.
Our website at roboiq.com.au has its own terms. If you have a separate signed agreement with us, that agreement prevails where it conflicts with these terms.
1. Your account and workspace
A workspace is a private space for one business. The person who creates it becomes its first administrator. Administrators control who is invited, what each person can do, the plan, and billing.
Sign-in uses one-time codes sent to your email address; there are no passwords. You are responsible for keeping your email account secure and for all activity under your seat. Tell us promptly at [email protected] if you believe an account has been compromised.
You must give accurate account and business details and keep them current. The Platform is for business use by people aged 16 or over. RoboAbility workspaces may be created by an individual organising support for a family member.
You are responsible for the people you invite into your workspace and for their compliance with these terms.
2. Free trial
New workspaces start on a free trial — 14 days unless a different period is shown at sign-up — with no payment details required. Trials include a limited allowance of Robo usage, shown in Settings → Plan & Billing; once it is used, Robo pauses until you subscribe.
We may end, extend or change a trial at any time. If you do not subscribe when the trial ends, we may restrict the workspace (for example, pausing Robo or making it read-only). We keep it for at least 30 days so you can subscribe and pick up where you left off; after that we may delete it.
3. Subscriptions, seats and fees
Paid plans are priced per seat, per month, with a minimum number of seats shown at checkout. A seat is one named person who can sign in. You may add seats at any time; added seats are charged pro rata for the rest of the current billing period. Reducing seats or moving to a cheaper plan takes effect at the end of the current period.
You can pay monthly, or annually in advance at the annual price shown at checkout. Annual subscriptions are for a committed 12-month term and are not refundable if you cancel early, except where the Australian Consumer Law requires otherwise.
All prices are in Australian dollars and exclude GST, which is added to each invoice at the rate in force. Prices shown in the Platform are the prices you pay unless a promotional or design-partner code has been applied to your workspace, in which case the code's terms apply for its stated period.
Payments are processed by a PCI-DSS-compliant payment processor (currently Stripe). We do not store card numbers. By subscribing you authorise recurring charges to your payment method at the start of each billing period, plus any usage charges under section 4, until you cancel.
If a payment fails we retry it and notify your administrators. While an invoice is overdue we may restrict the workspace (for example, pausing Robo or making it read-only). If it remains unpaid we may suspend or cancel the subscription.
You can cancel at any time through Settings → Plan & Billing → Manage billing. Cancellation takes effect at the end of the current billing period; you keep access until then. We do not provide refunds or credits for partial periods, unused seats or unused allowance, except where required by law.
We may change prices with at least 30 days' notice to your administrators by email or in-app. A price change applies from your next renewal after the notice period; if you do not accept it you may cancel before then.
4. Robo usage, allowance, overage and spend cap
Robo's work (AI model calls, voice, image and document generation, delegated tasks) is metered. Each paid seat includes a monthly usage allowance, pooled across the workspace; the current allowance per seat is shown in Settings → Plan & Billing.
Usage beyond the pooled allowance in a billing period is charged as overage, in arrears, on your next invoice, at the rates shown in Plan & Billing. Usage is measured by our systems; our records are conclusive absent manifest error.
Every workspace has a spend cap — by default a multiple of its monthly seat bill, shown in Plan & Billing. When the cap is reached Robo stops until the next billing period starts or an administrator raises the cap. The cap is a safety limit, not a guarantee that usage will reach it.
Unused allowance does not roll over and has no cash value. Prepaid AI credits, where offered, are consumed before metered overage, are non-refundable, and expire if the workspace is deleted.
5. Robo and AI-generated content
Robo is an AI assistant. It drafts, summarises, searches, builds pages and documents, and — when you ask it to — takes actions such as sending email, posting to your sites or operating websites on your behalf. AI output can be wrong, incomplete or out of date. You must review everything Robo produces before you rely on it, send it or publish it.
Consequential actions are gated: Robo asks for approval before sending messages to people outside your workspace, changing what is published, spending money or operating a third-party site, unless an administrator has chosen to allow that class of action without a prompt. Approving an action, or configuring approval to be automatic, is your decision and your responsibility.
Robo does not give legal, financial, tax, medical, health or other professional advice, and the Platform is not a medical device. Nothing it produces is a substitute for advice from a qualified professional who knows your situation.
You are responsible for the content you ask Robo to create and for what you do with it — including that it is accurate, lawful, not misleading, and does not infringe anyone's rights. Where Robo operates a third-party website or service at your direction, you must be entitled to use that service in that way and you accept that service's terms.
If you connect external tools, model providers or servers to your workspace, they are your responsibility: we do not control them and are not liable for what they do or return.
6. Your data
You own the content you and your team put into your workspace — contacts, companies, records, documents, images, messages, conversations with Robo, and anything Robo creates for you ("Customer Data"). You grant us a licence to host, copy, process, transmit and display Customer Data only as needed to provide, secure, support and improve the Platform for you and as described in our Privacy Policy.
You are responsible for having the right to collect and use the personal information in your workspace, and for complying with the Privacy Act 1988 (Cth), the Spam Act 2003 (Cth), the Do Not Call Register Act 2006 (Cth) and any other law that applies to you. Where you use contact enrichment or prospecting features, you decide to collect that information and must do so lawfully.
We act as your processor for Customer Data: we use it on your instructions, to run the Platform, and not for our own marketing. We do not sell Customer Data. The AI model providers we use are engaged on business terms under which your content is not used to train their models.
You can export your data at any time using the Platform's export features. An administrator can permanently delete the whole workspace ("Close workspace"). On cancellation we keep your data for at least 30 days so you can export it, then delete it from live systems; copies in encrypted backups expire on the backup rotation cycle. We keep billing and legal records as the law requires.
7. Acceptable use
You must not use the Platform, or allow it to be used, to:
- break the law, infringe anyone's rights, or send messages that are misleading, defamatory, harassing or unlawful;
- send unsolicited commercial electronic messages, or messages to people who have opted out, in breach of the Spam Act or equivalent laws;
- collect or process personal information you are not entitled to, or sensitive information without the consent the law requires;
- access, scrape or operate another party's system in breach of its terms, or in a way that disrupts it;
- attempt to bypass approval gates, spend caps, rate limits, workspace isolation or any other security control, or probe or test the Platform's security without our written permission;
- upload malware, or content designed to manipulate Robo or other AI systems into acting against their instructions;
- resell, sublicense or share seats, or provide the Platform to third parties as a service, except as a dealer or partner under a written agreement with us;
- use the Platform for any purpose where a failure could lead to death, personal injury or severe environmental or property damage.
We may suspend access, remove content or decline to carry out an action where we reasonably believe this section has been breached or that the law or a third party's rights require it.
8. Messaging, numbers and sending identity
Email, SMS and voice features send messages from identities associated with your business (your domain, a number we provision for you, or a shared sending identity). You are responsible for the content of every message and for having consent to send it. The Platform includes a working unsubscribe facility in every campaign message and enforces opt-outs and STOP replies automatically; you must not remove or defeat it.
Phone numbers we provision are licensed to you for use with the Platform while your subscription is active and are subject to carrier and regulator rules. We may reclaim a number that is unused, misused or no longer paid for.
Deliverability depends on carriers, mailbox providers and your own domain reputation; we do not guarantee that any message will be delivered or when.
9. Third-party services
The Platform connects to services you choose — your email or calendar provider, your websites, listing portals, booking systems, accounting tools and others. You authorise us to access those services on your behalf with the credentials or permissions you provide, and you are responsible for your use of them under their terms. We may add, change or remove integrations as those services change.
10. Intellectual property
We own the Platform, Robo, our software, designs, templates, documentation and brands, and all improvements to them. You receive a non-exclusive, non-transferable right to use the Platform for your business during your subscription under these terms. "RoboIQ", "Robo", "RoboCRM", "RoboCRE", "RoboResi", "RoboStrata", "RoboAbility" and "RoboPA" are trade marks of RoboIQ Pty Ltd.
As between you and us, you own the output Robo creates for you from your Customer Data and instructions, to the extent the law allows, and we make no claim to it. Templates, starters and brand assets we supply remain ours but are licensed for your use within your work product.
If you give us feedback or suggestions, we may use them without obligation to you.
11. Confidentiality
Each of us will keep the other's confidential information confidential, use it only for the purposes of this agreement, and protect it with reasonable care. This does not apply to information that is public through no fault of the recipient, already known to the recipient, independently developed, or required to be disclosed by law (with notice to the other party where lawful).
12. Availability, support and changes
We work to keep the Platform available around the clock and we schedule maintenance to minimise disruption, but we do not guarantee uninterrupted or error-free operation and no service level applies unless we have agreed one in writing. Support is provided in-app and by email during Australian business hours.
The Platform evolves. We may add, change or retire features, models and integrations. If a change materially reduces the core functionality you pay for, we will give reasonable notice and you may cancel at the end of the current billing period.
13. Suspension and termination
We may suspend or terminate your access if you materially breach these terms and do not fix the breach within 14 days of notice (or immediately for a breach of section 7 or for non-payment under section 3), if required by law, or if continued provision would put the Platform, other customers or third parties at risk.
You may terminate by cancelling your subscription or closing your workspace at any time. On termination for any reason, your right to use the Platform ends, you remain liable for fees incurred to the end of the period, and section 6 governs your data. Sections 5, 6, 10, 11, 14, 15, 16 and 18 survive termination.
14. Warranties and the Australian Consumer Law
We warrant that we will provide the Platform with due care and skill. Otherwise the Platform, Robo and its output are provided "as is" and "as available", and to the extent permitted by law we exclude all other warranties, express or implied, including fitness for a particular purpose and accuracy of AI output.
Our services may come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in these terms excludes, restricts or modifies those guarantees or any other right you have under the law that cannot be excluded. Where we are permitted to limit our liability for a failure to comply with a guarantee, our liability is limited to re-supplying the services or paying the cost of having them re-supplied.
15. Liability
To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special or consequential loss, or for loss of revenue, profit, goodwill, data or business opportunity, however caused, even if advised of the possibility.
To the maximum extent permitted by law, our total aggregate liability to you arising out of or in connection with the Platform or these terms, in any 12-month period, is limited to the fees you paid us in the 12 months before the event giving rise to the claim.
These limits do not apply to liability that cannot be limited by law, including liability for fraud, or for death or personal injury caused by negligence.
Robo acts on your instructions and with your approval. You are responsible for decisions made, messages sent, content published and actions taken using the Platform, including where you chose to allow a class of action to run without an approval prompt.
16. Indemnity
You indemnify RoboIQ and its officers and staff against any claim, loss, liability or cost (including reasonable legal costs) arising from Customer Data, messages you send, content you publish, your breach of these terms or of the law, or your use of third-party services through the Platform — except to the extent caused by our breach or negligence.
17. Changes to these terms
We may update these terms. For material changes we will give at least 30 days' notice to your administrators by email or in-app before they take effect; other changes take effect when posted. The effective date at the top of this page shows the version in force. Continuing to use the Platform after a change takes effect means you accept it; if you do not, cancel before then.
18. General
These terms are governed by the laws of New South Wales, Australia, and each party submits to the exclusive jurisdiction of the courts there. Neither party is liable for delay or failure caused by events beyond its reasonable control (other than payment obligations). You may not assign this agreement without our consent; we may assign it to a successor of our business on notice. If any part is unenforceable it is severed and the rest stands. Notices to you may be sent to an administrator's email address; notices to us go to the address below. These terms, our Privacy Policy and any order or code terms we issue are the whole agreement between us about the Platform.
